»Total Asset Transactions in Corporate Law«: Section 179a of the German Stock Corporation Act (AktG) imposes a system-alien restriction on the principle of unlimited and unrestricted power of representation applicable to commercial companies for transactions involving the entire assets of a stock corporation. In 1995, the Federal Court of Justice (BGH) extended the scope of application of the norm to include partnership law.
