In its current version, the German Corporate Governance Codex does not deal with conflicts existing within the stock corporation. In fact, the Codex all but ignores such conflicts – a status that must be regarded as highly unsatisfactory. Despite various reservations, inter- and intraorgan complaints are adequate means of resolving conflicts between the organs of the stock corporation, thus improving corporate governance.
